1. Acceptance of Terms

Hello By accessing, browsing, or using the Xenon Station website (the "Platform") and registering for our recruitment services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (the "Agreement"). If you do not agree with any part of these terms, you must discontinue use of the Platform immediately.

This Agreement constitutes a binding legal contract between you ("User" or "Client") and Xenon Station ("Company," "we," "us," or "our"). The Company reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the revised terms.

We recommend that you review this Agreement periodically for updates. The date of the most recent revision is indicated at the top of this document.

2. Description of Services

Xenon Station provides overseas recruitment and human resource management services, including but not limited to:

• Candidate sourcing, screening, and assessment
• Job matching and placement coordination
• Interview facilitation and offer management
• Visa and work permit assistance
• Onboarding and relocation support
• Employer branding and workforce consulting

Our services are provided on a professional basis with reasonable care and skill. We make no guarantees regarding specific outcomes, including but not limited to the successful placement of candidates or the approval of visa applications, as these may be subject to factors beyond our control.

The Company reserves the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where practicable.

3. User Obligations

Candidate Obligations

• Provide accurate, complete, and current personal and professional information
• Update your profile promptly when your circumstances change
• Respond to communications from Xenon Station and prospective employers in a timely manner
• Attend scheduled interviews and assessments as agreed
• Not misrepresent your qualifications, experience, or credentials
• Comply with all applicable laws and regulations in your home country and destination country

Employer Obligations

• Provide accurate job descriptions, requirements, and company information
• Respond to candidate submissions and interview requests promptly
• Honour offers of employment extended through our Platform
• Pay agreed fees in accordance with the terms of your service agreement
• Comply with all applicable employment and labour laws

General Obligations

• Maintain the confidentiality of your account credentials
• Not use the Platform for any unlawful, fraudulent, or unauthorised purpose
• Not interfere with the security or operation of the Platform
• Not attempt to circumvent our recruitment process or contact candidates/employers outside our Platform

4. Intellectual Property

All content, materials, and intellectual property available on the Xenon Station Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and structure of the Platform, are the exclusive property of Xenon Station or its licensors and are protected by applicable intellectual property laws.

Permitted Use

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose of recruitment and job searching. You may download or print portions of the content for personal, non-commercial use only.

Prohibited Use

• Reproducing, distributing, modifying, or creating derivative works from Platform content without prior written consent
• Using any data mining, robots, scraping, or similar data extraction methods
• Using the Company's trademarks, logos, or branding without express permission
• Framing or mirroring any part of the Platform without authorisation

5. Limitation of Liability

To the maximum extent permitted by applicable law, Xenon Station, its officers, directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or services
• Any loss of profits, data, business, or goodwill, whether based on contract, tort (including negligence), or any other legal theory
• Any damages resulting from third-party conduct, including but not limited to employers or candidates
• Any interruptions, errors, viruses, or technical malfunctions affecting the Platform
• Any failure of visa applications, work permits, or immigration approvals, which are subject to government discretion

Our total aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

6. Governing Law & Dispute Resolution

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to its conflict of law principles.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved through the following process:

1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiations within thirty (30) days of written notice.
2. Mediation: If negotiation fails, the parties agree to submit the dispute to mediation under the Dubai International Arbitration Centre (DIAC) Mediation Rules.
3. Arbitration: If mediation fails, the dispute shall be finally settled by arbitration under the DIAC Arbitration Rules, with the seat of arbitration in Dubai, UAE. The language of arbitration shall be English.

Notwithstanding the foregoing, Xenon Station may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while reflecting the original intent of the parties.
